EChem Supplies | Effective Date: January 1st, 2026
Please read these terms carefully. These Terms and Conditions apply to all sales transactions between EChem Supplies ("Seller") and Buyer, regardless of the method of order placement, including but not limited to orders placed via website, email, telephone, fax, or in person. Your use of this website, submission of any purchase order, or purchase of any product from EChem Supplies indicates your acceptance of these terms and conditions.
1. Acceptance
ALL SALES ARE SUBJECT TO THE TERMS AND CONDITIONS CONTAINED HEREIN. NO VARIATION OF THESE TERMS WILL BE BINDING UPON ECHEM SUPPLIES LLC UNLESS AGREED TO IN WRITING BY AN AUTHORIZED REPRESENTATIVE. Any additional or conflicting terms in Buyer's purchase order or other documents are expressly rejected and shall have no effect. Buyer's submission of a purchase order, acceptance of a quotation, or purchase of any product constitutes acceptance of these Terms.
Business-to-Business Sales; Buyer Capacity. EChem Supplies sells exclusively
to businesses, institutions, and professionals, including universities,
research institutions, national laboratories, and corporate research and
development organizations. By placing an order, submitting a purchase order,
or accepting a quotation, Buyer represents and warrants that it is acting in
the course of its trade, business, profession, or institutional research
activities, and not as a consumer. Buyer acknowledges and agrees that these
Terms govern a business-to-business transaction and that consumer protection
laws and regulations, including any statutory right of withdrawal,
cancellation, or cooling-off period applicable to consumer contracts, do not
apply to its purchase. Any natural person placing an order represents that
they are authorized to do so on behalf of a business, institution, or
professional entity.
2. Purchase Orders
All purchase orders are subject to acceptance by EChem Supplies. An order is deemed accepted upon our written confirmation or shipment of the products, whichever occurs first. Any terms and conditions contained in Buyer's purchase order that are additional to or inconsistent with these Terms and Conditions are hereby rejected and shall not be binding upon EChem Supplies unless expressly agreed to in writing. EChem Supplies reserves the right to reject any order at its sole discretion.
3. Pricing
General
All prices are quoted in United States Dollars (USD) and are subject to change without notice. Prices quoted are valid for thirty (30) days from the date of quotation unless otherwise specified. The price charged will be the price in effect at the time of order confirmation. Pricing errors on the website or in quotations may be corrected at any time, and EChem Supplies reserves the right to cancel any order placed at an incorrect price.
Tariff and Trade Policy Adjustments
Prices quoted are exclusive of any tariffs, duties, or similar charges. If any new tariffs, duties, or trade restrictions are imposed, or existing ones are increased by any government authority after the date of quotation or order confirmation, EChem Supplies reserves the right to:
(a) Adjust the price accordingly to reflect the increased costs; or
(b) Cancel the affected order(s) without liability.
Buyer will be notified of any price adjustment and may choose to accept the revised price or cancel the order. If Buyer cancels due to a tariff-related price increase, any refundable payments will be returned, but EChem Supplies shall not be liable for any additional costs, damages, or losses incurred by Buyer.
4. Payment Terms
We accept major credit cards (Visa, MasterCard, Discover, American Express), wire transfer, ACH, and purchase orders from approved accounts.
Credit Terms
Net payment terms (Net 30, etc.) are available to qualified customers upon credit approval. Credit applications must be submitted and approved prior to order placement. EChem Supplies reserves the right to modify or revoke credit terms at any time based on payment history or credit status.
Late Payment
Amounts not paid when due shall be subject to interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less. EChem Supplies may suspend shipments or cancel outstanding orders if payment is overdue. Buyer agrees to pay all collection costs, including reasonable attorney fees, resulting from any default.
Fraud Prevention
Payments made via credit card are subject to fraud risk assessment. EChem Supplies reserves the right to request additional verification, delay shipment pending verification, or cancel orders deemed to present a high risk of fraud. Such cancellation shall not give rise to any liability on the part of EChem Supplies.
Payment Disputes
Buyer agrees to contact EChem Supplies directly to attempt to resolve any billing or payment dispute before initiating a chargeback, payment reversal, or dispute with any bank, credit card company, or payment processor. Chargebacks or payment reversals initiated without prior good-faith effort to resolve the dispute directly with EChem Supplies may result in suspension of Buyer's account, assessment of administrative fees to cover the costs incurred by EChem Supplies in responding to such disputes, and referral to collections.
5. Down Payment Policy
Products requiring a down payment are subject to the following terms:
(a) Down payments are non-refundable, except in the following circumstances: (i) EChem Supplies voluntarily cancels the order; or (ii) the product has a verified critical quality defect that renders it unusable under normal conditions within the warranty period, and the defect is not caused by Buyer's customization requirements or specifications.
(b) Title to and ownership of the product shall remain with EChem Supplies until full payment is received, notwithstanding the transfer of risk of loss to Buyer upon delivery to the carrier as set forth in Section 12.
(c) If Buyer cancels the order or requests a return before full payment is made, Buyer must return the product in its original condition at Buyer's expense, and the down payment will not be refunded.
6. Order Cancellation
Orders may be cancelled only with prior written consent (including via email) from EChem Supplies. A cancellation fee of up to twenty-five percent (25%) of the order value shall apply to all confirmed orders. The following categories of orders cannot be cancelled under any circumstances:
(a) Customized products;
(b) Build-to-order items; and
(c) Products already in production or in transit.
For orders requiring a down payment, cancellation is additionally subject to the Down Payment Policy stated in Section 5 above.
7. Limited Warranty Coverage
All products are covered by a Twelve (12) Month Manufacturer Limited Warranty, commencing from the date of delivery. This warranty covers defects in materials and workmanship under normal use. Consumable Parts, as identified on the product page or in the product documentation, are excluded from this warranty unless otherwise expressly stated.
Warranty Remedy
Seller's sole obligation and Buyer's exclusive remedy under this warranty shall be, at Seller's sole discretion, the repair or replacement of the defective product or part. In no event shall Buyer be entitled to a refund under this warranty. Replacement parts provided under warranty are warranted only for the remainder of the original warranty period.
8. Warranty Exclusions
This warranty does not cover defects or damages resulting from:
(a) Failure to follow operating instructions or guidelines provided in the product manual or on the product page;
(b) Failure to perform required routine maintenance as specified in the product documentation;
(c) Operation beyond the product's specified capacity or parameters;
(d) Accident, misuse, negligence, or unauthorized modification;
(e) Defects arising from Buyer's customization requirements or specifications; and
(f) Normal wear and tear.
9. Defect Notification Requirements
Any apparent defects, shortage, or nonconformity that is reasonably discoverable upon visual inspection must be reported to EChem Supplies in writing (including via email) within the following timeframes from the date of delivery:
(a) Consumable Parts: Seven (7) days;
(b) Equipment and Non-Consumable Parts: Fourteen (14) days.
Failure to notify within these timeframes shall conclusively be deemed acceptance of the goods with respect to any such apparent defects, shortage, or nonconformity. Defects in materials or workmanship that are not reasonably discoverable upon visual inspection are governed exclusively by the warranty provisions set forth in Section 7.
10. Returns and Refunds
Return or refund requests must be initiated within fifteen (15) days of delivery. All returned products must be shipped in original packaging. A Return Merchandise Authorization (RMA) number must be obtained from EChem Supplies before returning any product. Returns received without an RMA number will be refused.
Restocking and Handling Fee
A restocking and handling fee of up to twenty-five percent (25%) of the product price shall apply to all returns not attributable to a confirmed product defect. This fee covers inspection, testing, repackaging, and administrative costs. EChem Supplies reserves the right to refuse any return that does not comply with the conditions set forth herein.
Non-Returnable Items
The following items are non-returnable and non-refundable under all circumstances: customized products, build-to-order items, software, and service-related fees. Original shipping and handling fees are non-refundable.
11. Shipping Costs for Returns
For confirmed product defects covered under warranty, EChem Supplies will cover return shipping costs. For all other returns, Buyer is responsible for all return shipping costs. Products returned at Buyer's expense must be shipped with tracking and insurance; EChem Supplies is not responsible for items lost or damaged in return transit.
12. Delivery and Risk of Loss
All sales are FOB Seller's designated shipping location. Delivery of goods to the carrier at Seller's shipping point constitutes delivery to Buyer, and Buyer bears all risk of loss or damage in transit from that point forward. Orders are typically shipped within two to five (2–5) business days, subject to product availability. Estimated shipping and delivery dates are provided for reference only and are not guaranteed.
13. Customer-Provided Carrier Account
Buyer may request that EChem Supplies ship an order using Buyer's own FedEx, UPS, DHL, or other carrier account ("Third-Party Billing"), subject to the following terms:
(a) Account Verification. Buyer is solely responsible for providing accurate and complete carrier account information, including account number, billing address, and authorized service level. EChem Supplies will attempt to generate a shipping label using the information provided. If the carrier rejects the account information for any reason, the order shall be held until corrected information is received, and EChem Supplies shall have no liability for any resulting delay.
(b) Handling Fee. A non-refundable handling fee shall be retained by EChem Supplies to cover packaging materials, labor, label generation, and administrative costs associated with Third-Party Billing. The handling fee shall be deducted from any shipping charge refund issued to Buyer. Standard handling fees range from fifteen to twenty-five U.S. Dollars (USD $15–$25) per shipment. Hazardous materials shipments are subject to a higher handling fee ranging from fifty to seventy-five U.S. Dollars (USD $50–$75) per shipment to cover regulated packaging, absorbent materials, and Shipper's Declaration preparation, in addition to labor and administrative costs associated with Third-Party Billing. International shipments may incur additional fees ranging from fifteen to twenty-five U.S. Dollars (USD $15–$25). The applicable fee shall be determined by EChem Supplies based on the contents and complexity of the order and communicated to Buyer prior to fulfillment. The handling fee described in this Section is separate from and in addition to any carrier-imposed surcharges, including but not limited to Dangerous Goods surcharges, which are billed directly to Buyer's carrier account as set forth in Section 13(d).
(c) Risk of Loss and Carrier Claims. When Third-Party Billing is used, EChem Supplies acts solely as the shipper of record. Risk of loss transfers to Buyer at the point of carrier pickup as set forth in Section 12. All claims for loss, damage, delay, or non-delivery during transit must be filed by Buyer directly with the carrier under Buyer's account. EChem Supplies shall have no obligation to file, pursue, or assist with such claims, and shall have no liability whatsoever for any transit-related incidents, surcharges, fees, or losses arising from the use of Buyer's carrier account.
(d) Hazardous Materials. Buyer represents and warrants that any carrier account used to ship hazardous materials holds all required Dangerous Goods authorizations from the carrier. Buyer acknowledges that carriers impose substantial Dangerous Goods surcharges on hazardous materials shipments (which, depending on carrier and service level, may exceed one hundred U.S. Dollars (USD $100) per package), and that such surcharges, along with any related fines, penalties, or fees imposed by the carrier, shall be billed directly to Buyer's carrier account and are the sole responsibility of Buyer. EChem Supplies reserves the right to refuse Third-Party Billing for hazardous materials shipments at its sole discretion.
(e) Refund Timing. Refunds of original shipping charges, less the applicable handling fee, shall be issued within three (3) business days after successful label generation and shipment.
14. Partial Shipment
EChem Supplies may, with Buyer's prior written consent (including via email), ship orders in multiple installments. Each partial shipment shall constitute a separate sale and shall be invoiced and payable independently. Unless EChem Supplies agrees in writing to absorb the additional cost, shipping charges for each installment shall be calculated based on the actual freight incurred for that shipment. Delay or failure of any one installment shall not affect the validity of the remaining shipments or Buyer's obligation to accept and pay for them.
15. Damaged Merchandise
All damaged merchandise must be reported to the carrier (UPS, FedEx, etc.) immediately upon receipt. Buyer must retain all packaging materials until any claim has been resolved. Photos and written documentation of the damage are strongly recommended. Failure to report damage to the carrier in a timely manner or to retain packaging may void Buyer's ability to pursue a claim.
16. Inspection and Acceptance
Buyer shall inspect all products promptly upon receipt for apparent defects, shortage, or nonconformity. Buyer's failure to provide written notice in accordance with the timeframes specified in Section 9 shall constitute irrevocable acceptance of the goods with respect to any condition reasonably discoverable upon visual inspection, and a waiver of all claims related thereto. This Section does not limit Buyer's rights under the Limited Warranty set forth in Section 7 with respect to defects in materials or workmanship that arise during normal use within the warranty period.
17. Taxes
Any applicable sales tax, use tax, duties, or other governmental charges shall be paid by Buyer in addition to the quoted prices, unless a valid exemption certificate is provided at the time of order.
18. International Shipping & Customs Duties
EChem Supplies ships internationally. Orders may be subject to import duties, taxes, and customs fees imposed by the destination country ("Customs Charges"). These charges are not collected by EChem Supplies and are the sole responsibility of the Buyer.
Buyer acknowledges and agrees that:
(a) Buyer is responsible for paying all Customs Charges assessed by local authorities upon delivery;
(b) If Buyer refuses to pay Customs Charges, the shipment may be abandoned, returned to sender, or destroyed;
(c) In such cases, no refund will be issued for the order total or original shipping costs;
(d) Any return shipping costs resulting from refusal to pay Customs Charges are the Buyer's responsibility; and
(e) Refusal to pay Customs Charges does not qualify for a chargeback, dispute, or claim with any payment provider.
By placing an order, Buyer confirms that it has read, understood, and accepts this policy.
19. Force Majeure
EChem Supplies shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, embargoes, trade wars, tariff impositions or increases, import/export restrictions, sanctions, acts of civil or military authorities, changes in government trade policies or regulations, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, materials, or components, supply chain disruptions, or delays by suppliers or subcontractors. In the event of such delay, the time for performance shall be extended for a period equal to the duration of the delay. If such delay persists for more than one hundred eighty (180) days, either party may cancel the affected order without liability.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECHEM SUPPLIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE USE OR INABILITY TO USE OUR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO ANY PRODUCT OR TRANSACTION SHALL NOT EXCEED THE PURCHASE PRICE ACTUALLY PAID BY BUYER FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
21. Disclaimer of Warranties
EXCEPT AS EXPRESSLY SET FORTH IN SECTION 7 HEREIN, ECHEM SUPPLIES LLC MAKES NO OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ALL SUCH IMPLIED WARRANTIES ARE HEREBY DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
22. Technical Assistance
EChem Supplies may, at its discretion, provide technical assistance, recommendations, or information regarding products upon Buyer's request. Unless such assistance is provided as part of a paid service agreement, all technical assistance and information is provided "AS IS" and without warranty of any kind, express or implied, including any warranty of merchantability or fitness for a particular purpose. Any suggestions regarding use, selection, application, or suitability of products shall not constitute a warranty or guarantee of any kind, and Buyer assumes all risk and liability arising from the use of such information. EChem Supplies shall not be liable for any damages or losses resulting from Buyer's reliance on any technical assistance provided free of charge.
23. Product Use
Our products are intended primarily for laboratory research purposes unless otherwise stated. Products are not intended for medical, clinical, diagnostic, therapeutic, or commercial production use unless explicitly designated as such in the product documentation. Buyer is responsible for ensuring products are used in accordance with all applicable laws, regulations, and industry standards. Buyer assumes responsibility to verify hazards and conduct any further research necessary for safe use. EChem Supplies makes no representation that the products are suitable for any particular application, and Buyer is solely responsible for determining the fitness of any product for its intended use. Buyer assumes all risk and liability arising from the use of products for any purpose other than laboratory research.
24. Indemnification
Buyer agrees to indemnify, defend, and hold harmless EChem Supplies, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or related to:
(a) Buyer's use, handling, storage, or disposal of products purchased from EChem Supplies;
(b) Buyer's breach of these Terms and Conditions;
(c) Any claims by third parties arising from Buyer's use or resale of products;
(d) Buyer's failure to comply with applicable laws, regulations, or industry standards.
25. Export Compliance
Our products are subject to U.S. export laws and regulations, including but not limited to the Export Administration Regulations (EAR) and sanctions administered by the Office of Foreign Assets Control (OFAC). Buyer assumes responsibility for compliance with all applicable export laws when transferring, selling, or exporting products. By placing an order, Buyer represents and warrants that it is not located in a sanctioned country or territory, is not a restricted or denied party, and will not use, export, or re-export the products in violation of U.S. export laws.
26. No Waiver
The failure of EChem Supplies to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. Any waiver of any provision shall be effective only if in writing and signed by an authorized representative of EChem Supplies, and shall apply only to the specific instance expressly identified therein. No course of dealing, delay, or omission in exercising any right shall operate as a continuing waiver or a waiver of any other right.
27. Assignment
Buyer shall not assign, transfer, or delegate any of its rights or obligations under these Terms and Conditions without the prior written consent (including via email) of EChem Supplies. Any purported assignment without such consent shall be void. EChem Supplies may assign its rights and obligations under these Terms and Conditions without restriction, including in connection with a merger, acquisition, or sale of all or substantially all of its assets.
28. Notices
All notices, claims, and communications required or permitted under these Terms and Conditions shall be in writing and shall be deemed duly given when: (a) delivered personally; (b) sent by confirmed email; (c) sent by nationally recognized overnight courier; or (d) sent by certified or registered mail, return receipt requested. Notices to EChem Supplies shall be directed to the address or email specified on the order confirmation or on the EChem Supplies website. Notices to Buyer shall be directed to the address or email provided by Buyer at the time of order. Each party is responsible for notifying the other of any change to its contact information.
29. Amendments
EChem Supplies reserves the right to modify or update these Terms and Conditions at any time by posting the revised version on its website. Any such modifications shall be effective upon posting and shall apply to all orders placed after the effective date of the revised Terms and Conditions. Orders placed prior to the effective date of any modification shall be governed by the Terms and Conditions in effect at the time the order was confirmed. It is Buyer's responsibility to review the current Terms and Conditions before placing an order.
30. Governing Law and Jurisdiction
These terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes shall be brought exclusively in the United States District Court for the Eastern District of California or the California Superior Court for the County of Sacramento, and the parties hereby submit to the exclusive jurisdiction and venue of these courts. In any action or proceeding to enforce any provision of these Terms and Conditions, the prevailing party shall be entitled to recover its reasonable attorney fees, court costs, and other collection expenses in addition to any other relief to which it may be entitled.
31. Severability
If any provision of these Terms and Conditions is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
32. Entire Agreement
These Terms and Conditions, together with any quotation, order confirmation, or invoice issued by EChem Supplies, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, whether written or oral.
